These Terms of Service (“Terms”) govern your use of services provided by VOIPx3 (“VOIPx3,” “we,” “us,” or “our”). By using our services, you agree to these Terms.

1 Services Overview

VOIPx3 provides telecommunications and related services, including but not limited to:

  • Cloud phone systems (UCaaS)
  • SIP trunking
  • Business SMS/text messaging
  • AI-powered voice agents and automation
  • Contact center solutions
  • Associated hardware and software (“Services”)

2 Eligibility & Use

You must be at least 18 years old and authorized to enter into agreements on behalf of your business.

You agree to use the Services only for lawful business purposes and in compliance with all applicable laws and regulations.

3 Account Responsibility

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activity under your account
  • Ensuring authorized use by your employees or agents

4 Acceptable Use

You agree not to use the Services to:

  • Violate any law or regulation
  • Send unauthorized or unsolicited communications (spam)
  • Violate TCPA, Do Not Call (DNC), or similar laws
  • Transmit harmful, fraudulent, or deceptive content
  • Interfere with network security or performance
  • We reserve the right to suspend or terminate Services for violations.

5 SMS & TCPA Compliance

If you use VOIPx3 messaging services, you agree that:

  • You will obtain prior express consent before sending SMS messages
  • You will maintain records of opt-in consent
  • You will honor opt-out requests (e.g., STOP) immediately
  • You will comply with TCPA, CTIA, and carrier guidelines
  • VOIPx3 is not responsible for your compliance with messaging laws.

6 Call Recording & AI Disclosure

You are responsible for complying with all applicable laws related to:

  • Call recording and monitoring
  • AI or automated voice interactions
  • Consent requirements (one-party vs. two-party states)
  • You must provide appropriate notice to call participants, including:
  • “This call may be recorded and may involve an AI-powered system.”
  • VOIPx3 provides tools, but you are responsible for how they are used.

7 AI-Powered Services

VOIPx3 may provide AI-powered voice agents and automation tools.

By using these Services, you acknowledge that:

  • AI systems may interact with customers or users
  • AI-generated responses may not always be accurate
  • You are responsible for reviewing and supervising AI usage
  • We do not guarantee outcomes generated by AI systems.

8 Data Privacy

Your use of the Services is also governed by our Privacy Policy.

You agree that:

  • You will only submit data you are authorized to use
  • You will comply with applicable data protection laws (GDPR, CCPA, etc.)
  • You are responsible for obtaining required user consents

9 Service Availability

We strive for high availability but do not guarantee uninterrupted service.

Services may be affected by:

  • Network issues
  • Carrier outages
  • Maintenance or upgrades
  • VOIPx3 is not liable for downtime beyond our reasonable control.

10 Fees & Payment

Fees are outlined in your Sales Order or agreement.

Payments are due as specified

Late payments may result in suspension

You are responsible for applicable taxes

All fees are non-refundable unless otherwise stated.

11 Third-Party Services

Some Services rely on third-party providers (carriers, vendors, software platforms).

We are not responsible for:

  • Third-party outages
  • Changes in third-party policies
  • Service limitations outside our control

12 Equipment

If you purchase or lease equipment, additional terms apply (see DaaS Terms & Conditions).

13 Intellectual Property

All VOIPx3 technology, systems, and materials remain our property or that of our licensors.

You may not:

  • Reverse engineer or copy our systems
  • Resell services without authorization

14 Limitation of Liability

To the maximum extent permitted by law:

VOIPx3 shall not be liable for:

  • Indirect, incidental, or consequential damages
  • Lost profits or business interruption
  • Data loss
  • Our total liability shall not exceed the amount paid for Services in the preceding 3 months.

15 Indemnification

You agree to indemnify and hold harmless VOIPx3 from claims arising out of:

  • Your misuse of the Services
  • Violations of law (TCPA, privacy, etc.)
  • Unauthorized communications or recordings

16 Termination

We may suspend or terminate Services if:

  • You violate these Terms
  • Payments are overdue
  • Required by law or carrier partners
  • You may terminate according to your agreement terms.

17 Changes to Terms

We may update these Terms from time to time.

We will provide notice of material changes. Continued use of the Services constitutes acceptance.

18 Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.
